Agreement

This Agreement is entered into between MEDSPUTNIK LLC, registered on 05-02-2014, ID 140240004403, located at 108 Karasay Batyr Street, Almaty, Republic of Kazakhstan, hereinafter referred to as the "Company," and the undersigned, hereinafter referred to as the "Client," collectively known as the "Parties."

1. Subject of the Agreement

The Company agrees to provide the Client with a package of informational consulting services known as "Medical Management," designed to organize the Client’s receipt of medical care from healthcare institutions specializing in stem cell therapies.
The Client agrees to accept and pay for the provided service package.

The Medical Management service package includes:

• Processing of medical documents provided by the Client, compiling a medical dossier, and translating it into English (up to 10 pages).
• Selection of suitable clinics (up to 3 options) and specialists according to the Client’s medical conditions and preferences.
• Forwarding the Client's medical documents to the selected clinic or clinic representatives in the respective country.
• Preparation of an individualized diagnostic (treatment, rehabilitation, surgery, etc.) program by clinic specialists.
• Receiving up to three treatment proposals with pricing from the clinic.
• Organization of video conferences.
• Telephone/email support during the Client’s stay abroad, strictly during working hours.

The total cost of Medical Management informational services is EUR 150 plus VAT at a rate of 21%.

2. Obligations of the Parties

The Client agrees to:

• Submit a written request/application to the Company.
• Provide the required documents and information within the timeframes specified by the Company.
• Make timely payments according to the terms of this Agreement.
• Approve and timely pay invoices issued by the Company.

The Company agrees to:

• Accept the Client’s request and forward it to the appropriate clinic for specialist review.
• Inform the Client about the review outcomes.
• Collect medical and other documents from the Client and forward them to the clinic; deliver to the Client documents received from the clinic.

The Company is entitled to:

• Withdraw from this Agreement if the Client breaches their obligations. In this case, the Client will receive a refund minus any costs already incurred by the Company.

3. Responsibilities of the Parties

• Both Parties bear responsibility for breaches of their obligations according to the laws of the Republic of Kazakhstan.
• The Client acknowledges that medical services are provided directly by specialized medical clinics holding necessary permits according to local legislation.
• The Company holds contractual relations with clinics but does not represent or affiliate with them, and therefore is not liable for the quality of medical services provided by the clinics.
• The invitation letter from the clinic to the Client represents the clinic’s guarantee of quality, completeness, and timeliness of the provided services.
• Medical services provided abroad are subject to the laws of the country where the clinic is located.
• The Client bears sole responsibility for possessing necessary travel documents compliant with consular requirements. The Company is not responsible for visa refusals or the Client’s failure to reach the clinic due to circumstances beyond the Company’s control.
• The Client must pay any damages caused to the clinic or additional unforeseen expenses incurred at the clinic.
• The Company advises the Client that clinic invoices may not be final, and additional costs may occur.
• The Client is independently responsible for the timely payment of any additional invoices issued by the clinic.
• Compliance with clinic rules is mandatory; violation may result in refusal of medical services.

4. Cancellation and Refund Policy

Cancellation of Medical Management services is possible only via a written request from the Client, provided the services have not yet been rendered. If all Medical Management services have been provided but the Client cancels or fails to visit the clinic for reasons beyond the Company's control, no refund will be issued.

5. Claims and Dispute Resolution

• All claims under this Agreement must be submitted in writing within 20 calendar days from the Agreement termination date and will be reviewed by the Company within 10 days of receipt.
• Disputes between the Client and the Company shall be resolved in accordance with the laws of the Republic of Kazakhstan.

6. Final Provisions

• This Agreement becomes effective upon acceptance and payment by Client and remains valid until all obligations are fully executed.
• The Client hereby consents to the processing and international transfer of personal data by the Company and clinics for the purpose of service provision under this Agreement. The Client has the right to request information regarding personal data processing results at any time.
• The Client consents to the destruction of personal data upon the expiration of this Agreement, except for documents legally required to be retained or documents owned by the Client.
